GOLDEN User Service Agreement

Special Note:
You are welcome to use the products and services of Shanghai GOLDEN Education and Training Co., Ltd. (hereinafter referred to as "GOLDEN").
1. GOLDEN agrees to provide Internet-based and mobile-related services (hereinafter referred to as “network services”) in accordance with the provisions of this Agreement and the operational rules issued from time to time. In order to obtain network services, service users (hereinafter referred to as “users”) You should agree to the full terms of this agreement and follow the instructions on the page to complete the registration process. By completing the registration process, the user fully accepts all terms of this Agreement.
2. GOLDEN has the right to modify this service agreement at any time according to the actual situation, and prompts to modify the content on the relevant website page. If the user continues to use the network services provided by GOLDEN, it is deemed to agree and accept the changed terms of service.
3. After the user has successfully registered, GOLDEN will give each user a user account and corresponding password. The user account and password are kept by the user; the user should be legally responsible for all activities and events carried out by his user account.
First, the service content
1. The specific content of GOLDEN's network services is provided by GOLDEN's platforms according to actual conditions, such as online schools, forums (BBS), and student exchanges.
2, some of the network services provided by GOLDEN, such as the network school, for the fee-based network services, users need to pay a certain fee to the high-cost network services. For the paid network service, GOLDEN will give the user a clear prompt before the user uses it, and the user can use the charging network service only if the user confirms that he is willing to pay the relevant fee according to the prompt. If the user refuses to pay the relevant fees, GOLDEN has the right not to provide such charging network services to the user.
3. Equipment related to related network services (such as personal computers, mobile phones, and other devices connected to the Internet or mobile networks) and the required fees (such as telephone charges and Internet access fees for access to the Internet). The mobile phone fee paid for using the mobile network shall be borne by the user.
Second, service changes, interruptions or terminations
1. In view of the particularity of the network service, the user agrees that the Gorton platform has the right to change, discontinue or terminate some or all of the network services (including the charging network service) at any time. If the changed, interrupted or terminated network service is a free network service, GOLDEN does not need to notify the user, nor does it have any responsibility for any user or any third party; if the changed, interrupted or terminated network service belongs to the charging network service, GOLDEN should Notify the user before changing, interrupting or terminating.
2. GOLDEN needs to overhaul or maintain the network service platform (such as Internet website, mobile network, etc.) or related equipment on a regular or irregular basis. If such a situation causes the charging network service to be interrupted within a reasonable time, GOLDEN does not have to bear any responsibility for this, but GOLDEN should make advance notice as much as possible.
3. In any of the following circumstances, GOLDEN reserves the right to discontinue or terminate the provision of the Network Services (including the Charged Network Services) under this Agreement to the User at any time without any liability to the User or any third party:
3.1 The personal data provided by the user is not true;
3.2 The user violates the usage rules stipulated in this agreement;
3.3 The user fails to pay the corresponding service fee to GOLDEN when using the charging network service.
Third, the use of rules
1. When applying for the use of the GOLDEN platform network service, the user must provide GOLDEN with the necessary accurate personal information. If there is any change in the personally necessary information, please be sure to update it in time.
2. The ownership of the GOLDEN account belongs to GOLDEN, and the user only has the limited right to use the GOLDEN account. Users are responsible for all the actions they perform under the account with the right to use. Users should keep their own accounts and passwords safely, and must not transfer, lend, rent, sell or share them with others. Otherwise, GOLDEN has The right to choose to temporarily suspend or permanently seize this account based on actual conditions. When the user's account or password is used without authorization, the user should immediately notify Gaoton, otherwise unauthorized use is considered the user's own behavior. In order to protect the security of the user's account, GOLDEN may use different methods to verify the identity of the user periodically or irregularly, including but not limited to requiring the input of verification code, short message verification, face recognition and so on. If the user is unable to complete the verification or refuses to verify, GOLDEN may reasonably suspect that the user's account is abnormal or stolen, and suspend the provision of products and / or services to the user or take further measures. GOLDEN does not assume any responsibility for the illegal use of accounts and passwords due to hacking or negligence of the user.
3. The User agrees that GOLDEN has the right to place various commercial advertisements or any other type of commercial information (including but not limited to advertising on any page of the GOLDEN platform) in various ways during the provision of the web service, and The user agrees to accept that GOLDEN will send merchandise promotions or other relevant business information to the user via email or other means.
4. Users must follow the following principles in the process of using GOLDEN network services:
4.1 Users should abide by the constitutional laws in the process of using GOLDEN's products and / or services, including but not limited to the "Conservation of State Secrets Law of the People's Republic of China", "Copyright Law of the People's Republic of China", "Computer Information System Security of the People's Republic of China" Laws and Regulations on Computer and Internet Regulations, such as the Protection Regulations, the Computer Software Protection Regulations, the Regulations on the Administration of Internet Electronic Bulletin Services, the Regulations on the Protection of Information Network Communication Rights, and the Cyber Security Law; Respect for social morality, must not endanger cybersecurity, and must not use the Internet to endanger national security, honour and interests, incite subversion of state power, overthrow the socialist system, incite secession, undermine national unity, promote terrorism, extremism, and promote national hatred. Ethnic discrimination, dissemination of violence, obscenity of pornographic information, fabrication and dissemination of false information to disrupt economic order and social order, as well as infringement of other people's reputation, privacy, intellectual property rights and other legitimate rights and interests. In any case, once GOLDEN reasonably believes that the user has the above behavior, he may terminate the provision of products and/or services to the user at any time without prior notice;
4.2 Comply with all network protocols, regulations and procedures related to network services;
4.3 The network service system shall not be used for any illegal purpose;
4.4 The use of GOLDEN Internet Services in any form does not infringe the commercial interests of the Platform, including, without limitation, the issuance of commercials that are not licensed by GOLDEN Platform;
4.5 Do not use the GOLDEN Network Service System for any actions that may adversely affect the normal operation of the Internet or the mobile network;
4.6 Do not use the web services provided by the GOLDEN Platform to upload, display or transmit any false, harassing, libelous, abusive, intimidating, vulgar, obscene or any other illegal information;
4.7 shall not infringe the patent, copyright, trademark, reputation or any other legal rights of any other third party;
4.8 Do not use the GOLDEN Network Service System to conduct any behavior that is not conducive to the GOLDEN platform;
5. Gorton has the right to review and supervise the use of GOLDEN platform services by users. If the user violates any of the above provisions when using the network service, GOLDEN or his authorized person has the right to request the user to correct or directly take all necessary measures (including but not limited to changing or deleting the content posted by the user, suspending or terminating the user's use. The right to network services) to mitigate the impact of user misconduct.
6, GOLDEN's use of certain specific GOLDEN platform services through various means (including but not limited to webpage announcements, emails, SMS reminders, etc.), any statements, notices, warnings, etc. are considered part of this agreement. If the user uses such GOLDEN network services, the user is deemed to agree to the contents of such statements, notices, and warnings.
7. Anyone who has the following information in the user's nickname (including but not limited to), the forum has the right to block, lock, or even cancel:
7.1 Use nicknames that contain serious violations of national laws and laws and customs, including or concealing reactionary, pornographic information (including symbols, addresses, etc.);
7.2 Use the real names, characters, numbers, stage names, pseudonyms, titles, etc. of the party and state leaders, celebrities who are more influential in ancient and modern China and abroad, and celebrities on the Internet;
7.3 Use the name and logo of the state agency, enterprise, famous company or brand as the nickname;
7.4 A nickname containing information on gender, racial discrimination, geographical discrimination, etc.;
7.5 A nickname containing uncivilized and unhealthy information such as insults, slander, or insults, provocations, ridicules, personal attacks, etc.;
7.6 A nickname containing information that is ambiguous and causes misunderstandings;
7.7 Use a nickname with a GOLDEN name without the official permission of GOLDEN;
7.8 nicknames with obvious advertising nature;
7.9 A nickname with information contained in other laws and regulations and the Forum Prohibition Rules.
Fourth, intellectual property rights
1. Protected by international copyright conventions, the People's Republic of China copyright law, patent law, and other intellectual property laws and regulations, GOLDEN's products and / or services and software, interfaces, interactions, etc., LOGO, trademarks All intellectual property rights in logos, graphics, text, audio, video, portraits, pictures, technology, etc. are owned and enjoyed by GOLDEN. “Intellectual Property Rights” includes any and all rights, any and all other proprietary rights and any and all applications, updates, extensions and restorations under the laws of patent law, copyright law, trademark law, anti-unfair competition law.
2. Any software used by GOLDEN for the provision of web services (including but not limited to any images, photos, animations, videos, recordings, music, text and add-ons included in the software, accompanying help materials) The rights belong to GOLDEN, and users may not reverse engineer, decompile, or disassemble the software without the permission of GOLDEN.
3. Users may only use products and/or services provided by GOLDEN in this Agreement and in the scope of GOLDEN's express authorization. Users may not modify, copy, transmit, transmit, distribute, transfer or sell the software, technology, materials and products used in GOLDEN's products and/or services for any for-profit or non-profit purposes without prior written permission of GOLDEN. /Service content, etc. or create or make derivative products or derivatives related to such content. Otherwise, the user is responsible for all damage to GOLDEN or others.
4. GOLDEN enjoys full intellectual property rights to its self-made content and other exclusive content obtained through authorization. No unit or individual may reproduce, distribute and provide viewing services or other infringement of GOLDEN's intellectual property rights without GOLDEN's permission. . Otherwise, GOLDEN will pursue the legal liability of the infringer.
V. Disclaimer
1. The user expressly agrees that the risk of using the GOLDEN network service will be entirely borne by itself; all consequences arising from the use of the GOLDEN network service are also borne by itself, and GOLDEN does not assume any responsibility to the user.
2. The user understands and confirms that GOLDEN's products and/or services are provided in accordance with the current state of the art and conditions, and that GOLDEN cannot guarantee that the products and/or services provided by them are flawless. The product and / or service (including technology and information) is provided with any express or implied promise or guarantee, including but not limited to quality, stability, correctness, timeliness, completeness, consistency, safety, etc., but GOLDEN promises to continuously improve the service. Quality and service level to provide users with better service.
3. GOLDEN does not guarantee the accuracy and completeness of external links set up to provide convenience to users. At the same time, GOLDEN does not assume any responsibility for the content of any external pages that are not controlled by GOLDEN. .
4. In order to improve the user experience, ensure the security of products and services, and the consistency of product functions, GOLDEN may update the software. You should update the software to the latest version, otherwise GOLDEN does not guarantee that it will work properly. GOLDEN does not assume any responsibility for network service interruptions or other defects caused by force majeure or high control, but will try to reduce the losses and impacts caused to the user.
5. The User agrees that GOLDEN shall not be liable for the quality defects of the following products or services provided by GOLDEN and any losses caused by them:
5.1 Various network services provided by GOLDEN to users free of charge;
5.2 any product or service that GOLDEN presents to the user;
5.3 Various products or services that GOLDEN provides to users of paid network services.
6. The content of photos, articles or discussion forums uploaded by other users (or netizens) shall be guaranteed by the user (or netizen) to the knowledge, professionalism and legality of the photos, articles or discussion areas.
Sixth, the agreement to modify
1. GOLDEN reserves the right to modify any of the terms of this agreement at any time. Once the content of this agreement changes, GOLDEN will directly announce the revised content on the GOLDEN website. The announcement is deemed to have notified the user to modify the content. . GOLDEN can also prompt the user to modify the content in other appropriate ways.
2. If you do not agree with the changes made by GOLDEN to the terms of this agreement, the user has the right to stop using the network service. If the user continues to use the web service, the user is deemed to have accepted the modifications made by GOLDEN regarding the terms of this agreement.
Seven, legal jurisdiction
1. The conclusion, execution and interpretation of this Agreement and the resolution of disputes shall be governed by and construed in accordance with Chinese law.
2. If there is any dispute between the two parties concerning the content of this agreement or its implementation, the two parties shall try to resolve it through friendly negotiation; if the negotiation fails, either party may file a lawsuit in the people's court with jurisdiction over GOLDEN.
Eight, other regulations
1. This Agreement constitutes the entire agreement between the parties to the agreement and other related matters of this Agreement. Except as provided in this Agreement, no other rights are granted to the parties to this Agreement.
2. If any provision of this Agreement is wholly or partially invalid or unenforceable for any reason, the remaining provisions of this Agreement shall remain valid and binding.
